A.B.U.R. Constitution

  1. NAME

    The name of the Association herein constituted shall be “ASSOCIATION OF BISHOP’S UNIVERSITY RETIREES”. The Association is a not-for-profit organization.

    In this constitution of the Association
    1. “Association” means Association of Bishop’s University Retirees.
    2. “University” means Bishop’s University.
    3. “Member” means member of the Association as defined in Article 4.
    4. “APBU” means L’Association des Professeur(e)s de Bishop’s University.
    5. “Corporation” means the Corporation of Bishop’s University.
    6. “Pension Committee” means the Pension Committee for Full-Time Employees of Bishop’s University.

    The objectives of the Association are predominantly:
    1. to promote and defend the financial and economic interests of members, and in particular to represent their interests in all matters relating to pensions and benefits.
    2. to organize information, discussion and actions of retirees.
    3. to ensure that the APBU consults the Association at all times in all matters that affect members, and in particular before, during and after negotiations with the Corporation.
    4. to ensure that the Corporation, the APBU and the Pension Committee inform members regularly about decisions that affect them.
    5. to assist the University to accomplish its mission.

    Eligible for membership are:
    1. all retirees of the University;
    2. their spouses;
    3. beneficiaries where applicable;
    4. prospective retirees within one year of retirement, on payment of a one-time entrance fee of $1.00 and payment of an annual fee as determined by the Annual General Meeting.

    1. There shall be an Executive Committee of six members and the past President, if applicable, to hold office for two years, renewable.
    2. The Executive Committee shall consist of
      1. a President;
      2. a Vice-President;
      3. a Secretary;
      4. a Treasurer;
      5. two Members-at-Large appointed by the elected members of the Executive Committee.
      The Executive may add additional members at its discretion.
    3. Any member of the Executive Committee may be removed from office at a Special General Meeting called for that purpose by a vote of two-thirds majority of members present.
    4. The quorum of the Executive Committee shall be at least three members.

    1. An annual membership fee will be recommended by the Executive Committee and approved at the Annual General Meeting.
    2. The financial year is from January 1 to December 31.
    3. The auditor of the Association shall be appointed at the Annual General Meeting.

    1. An Annual General Meeting will be held between January 1 and May 31.
    2. Notice of the Annual General Meeting and of any Special General Meetings will be sent to members at least two weeks prior to the date of the Annual General Meeting or of any Special General Meetings.
    3. The quorum shall be at least 10 members.
    4. A Special General Meeting may be called by the Executive or by any seven members.
    5. A simple majority of members present is required to pass any motion.

    1. Amendments to the Constitution may be proposed either by the Executive Committee or by individual members.
    2. An amendment to the Constitution requires the approval of two-thirds of members in attendance at the Annual General Meeting or at any Special General Meeting.

    Upon dissolution of the Association any funds of the Association remaining after the satisfaction of its debts and liabilities shall be given or transferred to the Bishop’s University Scholarship Fund.

This Constitution was approved at a Special Meeting of the Association on April 1, 2009.
